NUDG Practice -- Terms and Conditions of Booking

These Terms and Conditions ("Terms") govern all appointments booked through the NUDG online booking system at book.nudg.au ("Booking System"). By completing a booking, you agree to be bound by these Terms.

NUDG Practice ("NUDG", "we", "us", "our") is a consulting practice based in Melbourne, Victoria, Australia, providing automation, process improvement, and people leadership services.

1. Bookings and Confirmation

1.1. Appointments are made through our online Booking System at book.nudg.au.

1.2. A booking is confirmed when you receive a confirmation email to the address you provided. It is your responsibility to ensure the email address you provide is correct.

1.3. You are responsible for verifying the accuracy of your booking details, including date, time, and service type.

1.4. If you do not receive a confirmation email within 24 hours of making a booking, please contact us at hello@nudg.au.

2. Services

2.1. Bookings made through the Booking System are for initial consultations, operations audits, coaching sessions, and other scheduled services as described at the time of booking.

2.2. The free operations audit is a no-obligation, one-hour conversation to understand your business needs. No payment is required for this service.

2.3. For paid services, the scope, deliverables, and fees will be confirmed in a separate engagement agreement prior to commencement.

3. Cancellation Policy

3.1. We understand that plans change. We ask that you provide as much notice as possible if you need to cancel a booking.

3.2. Free consultations and operations audits:

  • You may cancel at any time by using the link in your confirmation email or by contacting us at hello@nudg.au.

  • We appreciate at least 24 hours' notice so the time can be offered to others.

    3.3. Paid sessions (coaching, workshops, and other fee-based services):

  • More than 48 hours' notice: No cancellation fee. Full refund of any prepayment.

  • 24 to 48 hours' notice: 50% of the session fee may be charged, reflecting the lost opportunity to fill the appointment.

  • Less than 24 hours' notice: The full session fee may be charged.

    3.4. Cancellation fees reflect a genuine pre-estimate of our loss from the cancelled appointment, including the inability to offer the time slot to another client. They are not intended as a penalty.

    3.5. We will always consider individual circumstances. If you have an emergency or extenuating situation, please contact us and we will work with you to find a fair outcome.

4. No-Show Policy

4.1. If you do not attend your appointment and have not contacted us within 15 minutes of the scheduled start time, the booking will be treated as a no-show.

4.2. For paid sessions, a no-show may be charged at the full session fee.

4.3. For free consultations, repeated no-shows may result in future bookings requiring confirmation before being accepted.

5. Late Arrival

5.1. We allow a grace period of up to 10 minutes for late arrivals. Please contact us if you are running late.

5.2. If you arrive more than 10 minutes late, the session may be shortened to fit within the remaining scheduled time, or rescheduled at our discretion.

5.3. If you arrive more than 15 minutes late without prior contact, the appointment may be treated as a no-show under clause 4.

6. Rescheduling

6.1. You may reschedule a booking at no charge by providing at least 24 hours' notice, using the link in your confirmation email or by contacting us at hello@nudg.au.

6.2. Rescheduling with less than 24 hours' notice will be treated as a cancellation under clause 3 and a new booking.

7. Our Right to Cancel or Reschedule

7.1. We may need to cancel or reschedule your appointment due to illness, emergency, or other unforeseen circumstances.

7.2. If we cancel your appointment:

  • We will notify you as soon as reasonably possible.

  • We will offer to reschedule at a mutually convenient time.

  • Any prepayment will be refunded in full if rescheduling is not suitable.

    7.3. We will not charge any fees when we cancel or reschedule an appointment.

8. Payment

8.1. Payment terms for paid services will be communicated at the time of booking or in a separate engagement agreement.

8.2. Where prepayment or a deposit is required, this will be clearly stated before you complete your booking.

8.3. All prices are quoted in Australian dollars (AUD) and are inclusive of GST where applicable.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, our total liability arising from or in connection with a booking is limited to the fee paid (or payable) for that appointment.

9.2. We are not liable for any indirect or consequential loss arising from a booking, including loss of profit, revenue, or anticipated savings.

9.3. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable Australian law that cannot be excluded, restricted, or modified by agreement.

10. Australian Consumer Law

10.1. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services remedied if they fail to be of acceptable quality and the failure does not amount to a major failure.

11. Force Majeure

11.1. Neither party will be liable for failure to perform obligations under these Terms where the failure is caused by circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government restrictions, power outages, or internet service disruptions.

11.2. In such circumstances, we will offer to reschedule the appointment or provide a full refund of any prepayment.

12. Disputes and Complaints

12.1. If you have a concern about your booking or our services, please contact us at hello@nudg.au. We will acknowledge your complaint within 5 business days and work to resolve it promptly.

12.2. If we cannot resolve the matter to your satisfaction, you may contact:

  • Australian Competition and Consumer Commission (ACCC): accc.gov.au

13. Privacy

13.1. Personal information collected through the Booking System is handled in accordance with our Privacy Policy, available at nudg.au/privacy.

13.2. By making a booking, you consent to the collection and use of your personal information as described in our Privacy Policy.

14. Changes to These Terms

14.1. We may update these Terms from time to time. Changes will be published on our website and will apply to bookings made after the date of publication.

14.2. Existing bookings will be honoured under the Terms in effect at the time the booking was made.

15. Governing Law

15.1. These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising under these Terms are subject to the non-exclusive jurisdiction of the courts of Victoria.

NUDG Practice ("NUDG", "we", "us", "our") is a consulting practice based in Melbourne, Victoria, Australia. We are committed to protecting the privacy of personal information collected through our website (nudg.au), our online booking system (book.nudg.au), and in the course of providing our services.

This Privacy Policy explains how we collect, use, disclose, and store your personal information. It has been prepared with reference to the Privacy Act 1988 (Cth) and the Australian Privacy Principles ("APPs").

1. Information We Collect

We may collect the following personal information:

  • Booking details: appointment date, time, and service type
  • Communication content: messages or notes you include when making a booking or contacting us
  • Business information: your role, business name, and industry (where relevant to the service)
  • Technical information: IP address and browser type (collected automatically when you visit our website or booking system)

We do not collect sensitive information (such as health information, racial or ethnic origin, or political opinions) through our Booking System.

2. How We Collect Information

We collect personal information:

  • Directly from you: when you make a booking through book.nudg.au, submit a contact form on nudg.au, send us an email, or speak with us by phone or in person.
  • Automatically: through server logs when you visit our website or booking system (e.g., IP address, browser type, pages visited).

We do not collect personal information from third parties without your knowledge.

3. Why We Collect Information

We collect and use your personal information for the following purposes:

  • To process, confirm, and manage your appointment bookings
  • To send you booking confirmations, reminders, and notifications
  • To contact you about your appointment or enquiry
  • To manage our calendar and scheduling
  • To deliver the services you have engaged us for
  • To improve our services and booking experience
  • To comply with our legal obligations

We will not use your personal information for purposes beyond those stated above without first obtaining your consent, except where required or authorised by law.

4. Third-Party Service Providers

To operate our booking system and deliver our services, we use the following third-party service providers. This means some of your personal information is shared with or processed by these providers:

4.1. Google Calendar

Your appointment details (name, date, time, and service type) are synced to Google Calendar to manage scheduling and availability. Google may store this data on servers located outside Australia. Google's privacy practices are governed by their own privacy policy: policies.google.com/privacy.

4.2. Email Delivery (SMTP2GO)

Booking confirmations and notifications are sent via SMTP2GO, a transactional email service. This means your name and email address are transmitted through their servers to deliver emails to you. SMTP2GO is a New Zealand-based company with servers that may be located outside Australia. Their privacy practices are governed by their own privacy policy: smtp2go.com/privacy.

4.3. Booking Platform (Easy!Appointments)

Our booking system runs on Easy!Appointments, a self-hosted open-source platform. Your booking data is stored in a database on infrastructure that we control and maintain in Australia. No booking data is sent to Easy!Appointments or any external party by the booking software itself.

4.4. Reverse Proxy and SSL

Our booking system is served over an encrypted HTTPS connection via a reverse proxy that we operate. Connection logs (which may include your IP address) are retained for security and diagnostic purposes.

5. Data Stored Outside Australia

As noted in section 4, some of your personal information may be processed or stored on servers outside Australia by Google (for calendar sync) and SMTP2GO (for email delivery). We have taken reasonable steps to ensure that these providers handle your information in a manner consistent with the APPs. However, we acknowledge that overseas providers may be subject to the laws of their respective jurisdictions.

6. Data Security

We take reasonable steps to protect your personal information from misuse, interference, loss, and unauthorised access, modification, or disclosure. Our security measures include:

  • Encrypted connections (HTTPS/SSL) for all data transmitted to and from our booking system and website
  • Access controls limiting who can view booking data
  • Self-hosted infrastructure for the booking database, maintained and updated by us
  • Regular review of our security practices

No method of electronic transmission or storage is completely secure. While we strive to protect your personal information, we cannot guarantee absolute security.

7. Data Retention

We retain your booking information for as long as reasonably necessary to:

  • Fulfil the purpose for which it was collected
  • Maintain records for our business operations
  • Comply with any legal obligations

When personal information is no longer needed, we will take reasonable steps to destroy or de-identify it.

8. Your Rights

You have the right to:

  • Access the personal information we hold about you
  • Request correction of any personal information that is inaccurate, out of date, incomplete, or misleading

To exercise these rights, please contact us at hello@nudg.au. We will respond to your request within 30 days.

In certain limited circumstances, we may refuse access or correction in accordance with the APPs (for example, where providing access would pose a serious threat to the life or health of any individual). If we refuse a request, we will provide you with written reasons.

9. Cookies and Analytics

Our website and booking system may use cookies -- small text files stored on your device -- to improve functionality and user experience. These may include:

  • Essential cookies: required for the booking system to function correctly (e.g., session management)
  • Analytics cookies: to understand how visitors use our site (e.g., pages visited, time on site)

You can manage or disable cookies through your browser settings. Disabling essential cookies may affect the functionality of the booking system.

10. Complaints

If you believe we have breached the APPs or mishandled your personal information, you may lodge a complaint with us:

We will acknowledge your complaint within 5 business days and investigate promptly. We aim to resolve complaints within 30 days.
